Paris, November 15^th, 2022

Visiomed Group (FR0013481835 - ALVMG), a group specializing in innovative healthcare technologies and services, signed an agreement today with the shareholders of Whealthy Care Solutions (WCS) confirming the start of exclusive negotiations regarding the merger of WCS and BewellConnect and outlining the main terms of this transaction.

Whealthy Care Solutions is a leading player in the marketing and deployment of connected healthcare services relying on an ecosystem of innovative technologies. The WCS business model focuses its operations around “healthcare and well-being concierge services”, which translate as:

1) marketing innovative technological solutions;
2) managing this service in order to generate recurring business.

As a Visiomed Group subsidiary and pioneer in connected healthcare and teleconsultations, BewellConnect has been a leading technological partner of WCS for over a year, boasting considerable success including the development of a healthcare booth for Italian supermarket distribution group Iper¹.

This merger would wrap up the strategic review of the subsidiary initiated in spring 2022 by Visiomed Group's new management, focusing in particular on reviewing potential commercial and equity partnerships. The merger would take the form of a joint venture and would benefit from all the resources required for its future development:

• Contribution of shares in WCS SRL (Italy) and WCS LLC (USA) by the WCS shareholders, bringing contracts, dynamic prospects and teams with significant commercial know-how;
• Contribution of BewellConnect shares by Visiomed Group, bringing an ecosystem of tried-and-tested products and the technological know-how of the Company's teams;
• Financing from both parties, allowing the new joint venture to implement its development plan from 2023.

Following these transactions, Visiomed Group would hold a 40% stake in the joint venture, while the WCS shareholders would jointly hold 60%. Rodolphe Bioche, Chairman and Founder of Whealthy Care Solutions, is set to take over as the new entity's CEO.

The completion of this transaction remains conditional on the satisfactory fulfillment of standard prerequisites (agreement regarding all legal documentation, satisfactory audit findings for both parties, etc.) and could take place before December 31^st, 2022.

As a reminder, BewellConnect, which has 12 employees, generated revenue of €2.4 million and a normalized EBITDA loss of €0.8 million in the first half of 2022.

  Smart Salem's “Medical Fitness Assessment” offer resulting from this know-how thus makes it possible to obtain a residence or work visa in the space of 30 minutes compared to 10 to 15 days in historical health centers.
  
  Smart Salem is a technological platform offering many growth opportunities, as shown by the opening of the second center in Dubai in September 2022 and the authorization received for the opening of a third center, planned to open in the first quarter of 2023.
